1. Who we are

xInvoicer ("xInvoicer", "we", "us", "our") provides multilingual invoicing software for freelancers and small businesses. These Terms of Service ("Terms") form a binding agreement between you and xInvoicer. By creating an account or using the service you agree to these Terms.

2. Eligibility and your account

You must be of legal age in your jurisdiction and have authority to bind any organization you represent. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

3. Acceptable use

You agree not to misuse the service. In particular you must not:

  • use the service for unlawful, fraudulent, deceptive, or abusive activity;
  • send spam, phishing, or unsolicited communications;
  • infringe intellectual property, privacy, or other rights of any third party;
  • upload malware or interfere with the security, integrity, or availability of the service (including probing, scanning, scraping, or bypassing rate limits);
  • reverse engineer, resell, or redistribute the service except as permitted by law;
  • use the service to issue invoices for illegal goods or services or in violation of Paddle's Acceptable Use Policy.

4. Intellectual property

xInvoicer and its licensors retain all right, title, and interest in the service, including all software, templates, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your plan. You retain ownership of the content and data you input; you grant us a limited license to host and process that content solely to provide the service.

5. Payments and merchant of record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax collection, cancellations, and refunds are governed by Paddle's Buyer Terms.

Plan prices, billing cadence, and included features are described on the pricing page. Subscriptions renew automatically until cancelled. You can cancel or change your plan at any time via your account or via Paddle at paddle.net.

7. Service availability and warranty disclaimer

We work hard to keep xInvoicer available and performant, but the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not guarantee uninterrupted, error-free, or secure operation.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the service is capped at the fees you paid to Paddle for the service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including fraud, death, or personal injury caused by negligence).

9. Suspension and termination

We may suspend or terminate your access to the service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may close your account at any time; you are responsible for exporting your data before doing so.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the service or by email. Continued use after the changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the seller's jurisdiction, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless applicable consumer law grants you additional rights.
